Scope of Agreement
This End User License Agreement ("Agreement") governs the use of all sound effect libraries, sample packs, cinematic sound design collections, and related digital audio assets (collectively, the "Modules") distributed under the ENVMODE brand ("ENVMODE", "we", "us").
By downloading, purchasing, or otherwise accessing a Module, you ("Licensee") accept and agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not download, purchase, or use any Module.
Ownership & Intellectual Property
All Modules consist of original audio works conceived, designed, and produced by ENVMODE. ENVMODE retains full and exclusive ownership of all intellectual property rights in and to the Modules, including all copyrights, at all times.
Your purchase grants you a license to use the Modules under the terms below — it does not transfer ownership of the underlying audio files. No rights are assigned to you beyond those expressly stated in this Agreement.
License Grant
Subject to your compliance with this Agreement, ENVMODE grants you a non-exclusive, non-transferable, worldwide license to use the Modules in the production of your own creative and commercial work, royalty-free, with no additional payments due upon distribution, broadcast, or sale of the resulting work.
Single User License
Unless otherwise specified at the time of purchase, each license is granted to a single end user. The license may not be shared between multiple individuals.
Where multiple users within the same company, organization, studio, production team, or other entity wish to use the Modules, each user must hold a valid individual license, or the entity must obtain a multi-user or enterprise license issued by ENVMODE.
Permitted Uses
You may incorporate Modules into final productions across the following contexts, for both commercial and non-commercial purposes:
Restricted Uses
The license granted under this Agreement does not permit any of the following. These restrictions apply regardless of whether the audio is used in its original or a modified form:
Modules must be embedded within a final creative work. They may never be distributed, sold, or shared as an isolated audio file separate from that work.
Client Delivery Rights
The Licensee may deliver, distribute, publish, or otherwise provide final productions incorporating the Modules to clients, broadcasters, publishers, distributors, streaming platforms, production companies, game studios, advertising agencies, and other end customers, provided that the original ENVMODE audio files are not separately accessible, extractable, or distributed as standalone assets.
Non-Transferable License
The license granted under this Agreement is personal to the Licensee and may not be assigned, sublicensed, transferred, sold, rented, leased, shared, or otherwise conveyed to any other individual or entity without prior written authorization from ENVMODE.
Dataset / NFT / Archive Restriction
The Licensee may not include, upload, contribute, or incorporate any Module, in whole or in part, into datasets, repositories, archives, blockchain assets, NFTs, tokenized collections, public databases, or similar systems where the original audio content may be extracted, redistributed, accessed, or reused by third parties.
AI & Machine Learning Restriction
You may not use any Module — in whole, in part, or in any derivative or processed form — to train, fine-tune, validate, or otherwise develop any artificial intelligence or machine learning model, including but not limited to generative audio models, voice synthesis systems, or sound classification systems.
This restriction applies regardless of whether the resulting model or its outputs are used for commercial or non-commercial purposes, and regardless of whether the Module is used directly or as part of a larger training dataset.
Digital Delivery Only
All ENVMODE Modules are exclusively digital products, delivered via electronic download. No physical medium, SSD, hard drive, USB device, packaging, printed material, or other tangible good is included with any purchase, unless explicitly stated otherwise at the time of purchase.
File Format
Modules are delivered as professional-grade digital audio files in WAV format, and may include additional digital documentation related to the product. No physical component is included in any purchase.
Term & Termination
This license remains in effect until terminated. ENVMODE may terminate this Agreement immediately upon written notice if you breach any term herein. Upon termination, you must cease all use of the Modules and destroy all copies in your possession, except where already embedded within a previously published final work that complies with this Agreement.
Warranty Disclaimer
Modules are provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the maximum extent permitted by law, ENVMODE shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Modules, even if advised of the possibility of such damages.
General Provisions
This Agreement constitutes the entire understanding between you and ENVMODE regarding the Modules and supersedes all prior agreements relating to their use. If any provision is held unenforceable, the remaining provisions remain in full force.
ENVMODE reserves the right to update this Agreement at any time. Continued use of any Module following an update constitutes acceptance of the revised terms.
This Agreement is governed by the laws of Italy. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Venice, Italy.
All sales are final. Refunds, where applicable, are governed exclusively by the refund policy of the payment processor in effect at the time of purchase. ENVMODE does not independently guarantee refunds beyond what is provided by the payment processor.
